Constitution and By-laws

Article I

Name:  The name of this organization shall be “The Sanford High School Music Boosters Association”.

Article II

Objectives:  The objectives of the Association shall be;

Membership:  All persons interested in the purposes of the Association shall be entitled to non-voting membership. Voting privileges to be granted or revoked by a majority vote of the Executive Committee.  Any persons deemed to be disruptive or counter productive to the mission of the association, as determined by the President, shall forfeit their right to membership. 

Article V

Officers:  The officers of this Association shall consist of President, Vice President, Secretary, Treasurer, and Public Relations Officer.

Article VI

Dissolution:  In the event, for any reason, this Association shall become inactive, any funds and assets of the Association shall be transferred to the Sanford High School band activities account.

Notwithstanding any other provisions of these articles, this organization is organized exclusively for one or more of the purposes as specified in Section 501(c) (3) of the Internal Revenue Code of 1954, and shall not carry on any activities not permitted to be carried on by an organization exempt from federal income tax under IRC 501(c) (3) or corresponding provisions of any subsequent federal tax laws.

No part of the net earnings of this organization shall inure to the benefit of any member, trustee, director, officer of the organization, or any private individual (except that reasonable compensation may be paid for services rendered to or for the organization), and no member, trustee, officer of the organization or any private individual shall be entitled to share in the distribution of any of the organization’s assets on dissolution of the organization.

No substantial part of the activities of the organization shall be carrying on propaganda, or otherwise attempting to influence legislation (except as otherwise provided by IRC 501 (h)) or participating in, or intervening in (including the publication or distribution of statements), any political campaign on behalf of or in opposition to any candidates for public office.

In the event of dissolution, all of the remaining assets and property of the organization shall after payment of necessary expenses thereof be distributed to such organizations as shall qualify under 501 (c) (3) of the Internal Revenue Code of 1986, or corresponding provisions of any subsequent Federal Tax Laws, or to the Federal government or State or local government for a public purpose, subject to the approval of a Justice of the Supreme Court of the State of Maine.

In any taxable year in which the organization is a private foundation as described in IRC 509(a), the organization shall distribute its income for said period at such time and manner as not to subject it to tax under IRC 4942, and the organization shall not (a) engage in any act of self-dealing as defined in IRC 4941(d), (b) retain any excess business holdings as defined in IRC 4943(c), (c) make any investments in such a manner as to subject the organization to tax under IRC 4944, or (d) make any taxable expenditures as defined in IRC 4945(d) or corresponding provisions of any subsequent Federal Tax Laws.

Executive Committee: The executive committee shall consist of the President, Vice President, Secretary, Treasurer, and the immediate past President. They shall conduct business as may be necessary in the interim of the regular meeting of the Association. They shall audit the books prior to the June meeting. An office may be held by the same person multiple times.

Section III

Meetings: Regular meeting of the Association shall be held on the second Thursday evening of each month during the school year, (excluding December), at 6:30pm. Meeting dates and times may be changed by agreement with a majority vote of the current executive committee with 24 hours notice. Special meetings may be called as required.

Quorum: At any meeting of the Association, a majority of the Association then in term shall constitute a quorum. If the Association consists of an even number of members during a given year, a quorum shall consist of 50%. 

Section IV

Elections: The elections of officers shall be held annually at the May meeting. The new officers shall assume their duties immediately following that meeting. 

Section V

Amendments: The Constitution and Bylaws may be amended by a two-thirds vote of the members present at any regular meeting, provided that the proposed amendments must have been presented, in writing, at a previous meeting of the Association.
